Job Title: Associate General Counsel

Job Summary:
The Associate General Counsel directs and administers Lerch Bates’ risk-management programs, including developing strategies, controls, and measures to monitor and mitigate the risk exposure of assets. This role also monitors the effectiveness of procedures to identify points of improvement and provides in-house legal counsel in support of business activities and transactions where applicable. They will provide a broad range of legal services and support across various departments within the company. This role requires strong analytical skills, the ability to handle multiple tasks simultaneously, and excellent communication abilities.

What You’ll Do:
The duties listed below are intended only as illustrations of the various types of work that may be performed in this position. They are not intended to prescribe or restrict the assignments that management may make.
Direct the overall company contracting practice; draft, update, train on, and communicate related policies and procedures.-
Direct and administer the organization's risk management and insurance programs and related teams.
- Act as the primary contact and liaison between our clients concerning all legal and contractual matters, ensuring that issues are addressed efficiently and promptly.

Draft, review, and negotiate a wide range of contracts and other legal agreements, including but not limited to NDAs, NSAs, MSAs, vendor and client contracts, proposals, leases, intellectual property, licensing agreements, etc.

Ensure all legal documents comply with applicable laws and company policies and are legally sufficient.

Collaborate with various departments (ex., HR, finance, IT, tax, sales, marketing, branding, operations, delivery, etc.) to provide legal support in alignment with company objectives.

Support M&A activities, including due diligence, 3rd party legal transaction support, and integration efforts.

Direct and develop efficient policies and processes that govern the contract administration and risk mitigation processes.
- Supervise, manage, train, and mentor the contract administration staff and others throughout the organization who touch risk management processes.

Lead and participate in client negotiations, working closely with the sales team to assess and mitigate potential risks associated with contracts and agreements.

Research and interpret existing laws and regulations and anticipated changes to laws to guide informed decisions, reduce risk, and be legally compliant.

Coordinate the response to legal complaints, loss prevention matters, claims, lawsuits, subpoenas, and depositions, including reporting to and coordinating with our insurance broker, responding insurance providers, and related outside counsel.
- Manage legal department budget, including 3rd party litigation support.
- Consult with executive leadership, internal operations and delivery experts, and insurance carriers on complex liability claims.

Develop, refine, and oversee the company-wide safety and fleet vehicle programs.

Promotes organization-wide understanding of risks and risk management strategies through training and other avenues.

Perform special projects and any other duties as assigned.
What You’ll Bring:

Bachelor’s Degree and Juris Doctor (Required)

Must be admitted to the State Bar of Colorado or with a State that has reciprocity with Colorado.

A minimum of five years in contract administration and risk mitigation programs.
- At least five years of experience in a corporate legal department or law firm
-
Proven experience in managing people and teams.

In deep knowledge of the building construction or real estate asset contract life cycle, types of contracts, and applicable government regulations.

Knowledge of intellectual property law.

Strong knowledge of corporate law, contract law, and regulatory compliance.

Excellent legal research and writing skills.

Strong project management skills, with the ability to handle multiple projects simultaneously and meet deadlines.

Excellent analytical and problem-solving abilities to identify integration risks and develop effective mitigation strategies.

Outstanding communication and interpersonal skills, with the ability to collaborate and influence stakeholders at all levels of the organization.

Strong negotiation skills.

Knowledge of risk management assessment, evaluation, and audit best practices.

Unwavering integrity and the ability to maintain a high level of confidentiality.

Familiarity with international business transactions.
