POSITION SUMMARY
Under the general guidance of the General Counsel, the Assistant General Counsel is responsible for handling complex legal matters and actively engaging with internal clients, as well as customers, vendors, and other third parties. This role provides solution-oriented counsel to solve complex problems in support of business objectives, focusing on risk mitigation, dispute avoidance, and resolution counseling.
What you will be doing
Consult and Handle Corporate Legal Matters: Manage assigned corporate legal matters and processes, including intellectual property, mergers & acquisitions, financial/securities offerings, compliance, transactions, contracts/agreements, and disputes/litigation matters.
Develop Company Policy: Formulate company policies and positions on various legal issues, ensuring alignment with business objectives and compliance requirements.
Mitigate Legal Risks: Research, anticipate, and guard against potential legal risks to the company, providing proactive advice and solutions.
Negotiate and Draft Legal Documents: Structure, draft, review, and negotiate legal documents, including reports, contracts, and agreements, to support business transactions and operations.
Ensure Compliance: Guide diverse constituencies to ensure adherence to rules and regulations, maintaining compliance across all business activities.
What you will bring to the team

Current license to practice law, in good standing.

JD degree; prior healthcare experience a plus.
- Minimum of 5-7 years of corporate or business legal experience with a focus on transactional matters.

Strong ability to analyze complex issues and negotiate effectively to reach favorable outcomes.

Keen attention to detail and analytical ability to identify and resolve problems decisively.

Demonstrated ability to confront and successfully resolve complex legal matters, balancing legal needs with business objectives.
